Nexus Global Holdings Corporation

These General Engagement Terms & Conditions (“Agreement”) govern all services provided by Nexus Global Holdings Corporation, including its subsidiaries, divisions, and DBAs (collectively, the “Company”), to any client (“Client”), unless superseded by a separately executed Master Services Agreement (“MSA”).

By approving a proposal, statement of work, invoice, or by commencement of services, the Client agrees to be bound by this Agreement.

1. Governing Documents & Order of Precedence

Each engagement between the Company and Client is governed by the following documents, in order of precedence:

  1. The approved Proposal / Statement of Work (“SOW”)
  2. These General Engagement Terms & Conditions
  3. Any mutually executed addendum or amendment

The Proposal defines the specific scope, deliverables, project duration, agency hours, and fees applicable to the engagement.

2. Scope of Services

The Company will provide only those services expressly defined in the approved Proposal.

Any services, deliverables, or work not explicitly stated in the Proposal are considered out of scope and are not included unless agreed to in writing.

Verbal discussions, assumptions, or informal communications do not modify scope.

3. Agency Hours Allocation (Scope Control)

Each engagement includes a defined allocation of Company (“Agency”) hours as specified in the Proposal.

Unused hours do not roll over unless expressly stated in the Proposal.
