(Master Engagement Terms – Applies to All Projects)

GENERAL ENGAGEMENT TERMS & CONDITIONS

This Engagement Framework (“Agreement”) governs all services provided by Nexus Global Ventures Corporation, including its DBAs and affiliated entities (“Agency”), to the Client (“Client”), unless otherwise superseded by a signed Master Services Agreement (MSA).

By approving a proposal, invoice, or statement of work (“Proposal”), the Client agrees to the following terms.

1. Engagement Structure & Governing Documents

Each client engagement is governed by the following documents, in order of precedence:

1. Signed Proposal / Statement of Work (SOW)
2. This General Engagement Framework
3. Any mutually signed addendum or amendment

The Proposal defines:

• Scope of services
• Deliverables
• Project duration
• Agency hours allocated
• Pricing and payment terms

2. Scope of Work Definition

The Agency will perform only the services explicitly outlined in the approved Proposal.

Any work not expressly stated is considered Out-of-Scope and requires:

• A written scope amendment, or
• Use of available unused agency hours (if applicable)
